Terms of Service & Binding Legal Agreement

Mandatory Legal Notice
BY SUBMITTING THE OFFICIAL VELOCITY 360 PARTNER APPLICATION, YOU (THE "PARTNER") EXPRESSLY AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. THIS CONSTITUTES A LEGALLY ENFORCEABLE CONTRACT BETWEEN YOU AND THE KNOWLEDGE GAP CO LLC DBA VELOCITY 360 ("THE COMPANY"). IF YOU DO NOT AGREE TO THESE TERMS, DO NOT SUBMIT AN APPLICATION.
This Partner Success Program Agreement (the "Agreement") governs your participation in the Velocity 360 Partner Success Program. The Company reserves the right to approve or reject any application at its sole and absolute discretion without cause or explanation.
1 Tiered Commission Structure

Note: Setup Commissions are calculated based on the net fee received by The Company, excluding taxes and third-party processing fees.
2 Payout Logistics & Financial Terms
The "Paid-on-Paid" Rule
Commissions are not "vested" or owed until The Company has received cleared, non-refundable funds from the referred client. If a client defaults, fails to pay, or cancels, all future commissions for that account are permanently extinguished.
Minimum Threshold & Right of Offset
Minimum payout is $100. The Company reserves the Right of Offset, allowing it to deduct any debts, chargebacks, or liabilities owed by the Partner from current or future commissions.
3 Lead Attribution & Registration
First-to-Register: Leads must be registered via the Velocity 360 Portal *prior* to a client's first contact with The Company. Attribution is strictly determined by our internal CRM timestamps.
Lead Expiration: Lead registrations remain valid for **90 calendar days**. If a conversion does not occur within this period, the lead expires. The Company is under no obligation to pay commissions on leads that close after expiration unless re-registered in writing.
4 Proprietary Rights & Injunctive Relief
Partner acknowledges that all materials provided are the Trade Secrets and Intellectual Property of The Company. Partner shall not disseminate, copy, or reverse engineer any scripts, workflows, or SOPs.
INJUNCTIVE RELIEF: Partner agrees that any breach of this section would cause irreparable harm to The Company for which money damages would be inadequate. Therefore, The Company shall be entitled to seek an immediate injunction to prevent further breach, without the necessity of posting a bond.
5 Professional Standards & Compliance
- ✔ Anti-Spam: Partner warrants compliance with the CAN-SPAM Act and TCPA. Any "spamming" behavior results in immediate termination and forfeiture of all unpaid commissions.
- ✔ FTC Disclosure: Partner must include a clear disclosure on all marketing materials: "I am an independent partner and may receive a commission if you purchase through my link."
- ✔ Non-Solicitation: Partner shall not solicit or attempt to hire any Velocity 360 employee or contractor for the duration of this agreement and for twelve (12) months thereafter.
6. Comprehensive Legal Provisions
6.1 Indemnification
Partner agrees to indemnify, defend, and hold harmless The Company, its officers, and employees from any and all claims, damages, or legal fees arising from (a) Partner's breach of this Agreement, (b) Partner's marketing activities, or (c) any misrepresentations made by Partner to third parties regarding the Software.
6.2 Disclaimer of Warranties
THE PARTNER PROGRAM AND SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE." THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT GUARANTEE THAT THE PARTNER WILL EARN ANY SPECIFIC AMOUNT OF INCOME.
6.3 Limitation of Liability
IN NO EVENT SHALL THE COMPANY'S TOTAL AGGREGATE LIABILITY TO THE PARTNER EXCEED THE TOTAL COMMISSIONS PAID TO THE PARTNER IN THE SIX (6) MONTHS PRECEDING THE CLAIM. THE COMPANY SHALL NOT BE LIABLE FOR PUNITIVE, INDIRECT, OR CONSEQUENTIAL DAMAGES.
6.4 Severability & Merger
If any provision of this Agreement is held to be unenforceable, the remaining provisions shall remain in full force. This document constitutes the entire agreement between the parties and supersedes all prior oral or written communications.
Partner Retention & Incentives
Grandfather Clause
Existing affiliates with 2+ referrals and 1+ closed sale in the last 180 days are grandfathered at Platinum Status effective May 1, 2026. This status will be reviewed on November 1, 2026, and may revert based on performance.
Inactivity Rule
Accounts with **0 leads or sales for 180 consecutive days** are subject to status demotion. The Company reserves the right to terminate inactive accounts at any time without notice.
