Velocity 360 Affiliate Program Terms & Conditions

Effective Date: November 4, 2025

In this document, "The Company" refers to The Knowledge Gap Co LLC DBA Velocity 360, with its principal place of business located at 800 S Gay St P340, Knoxville, TN 37929.

By submitting the official Velocity 360 Affiliate Application, the applicant (referred to hereafter as "Affiliate") agrees to and is bound by all the terms and conditions set forth in this Policy, The Company's Terms of Use, and the mandatory Non-Disclosure Agreement (NDA).

1. Commission Structure and Payout Eligibility

Affiliates are eligible for the following commissions on initial purchases made by clients referred directly by them.

• Recurring Revenue: The 10% commission on recurring revenue (e.g., subscription fees) will be paid for a maximum of twelve (12) consecutive months from the client's initial signup date.
• Exclusions: Affiliates do not automatically receive commission on subsequent transactions, including future setup fees or product/service upgrades, unless expressly agreed upon in Section 2.

2. Commissions on Future Transactions (Active Sales Role)

The Company recognizes and rewards affiliates who play an active role in client growth.

• If an affiliate actively engages in the upselling and sales work required to secure a future transaction (such as an upgrade or a new setup fee for an existing client), Velocity 360 may, at its sole discretion, offer an additional 10% commission on that specific transaction.
• This incentive requires prior confirmation and/or clear evidence of the affiliate's active and necessary sales role in the transaction, as determined by The Company.

3. Performance Requirement for Ongoing Recurring Commissions

To ensure affiliates remain active partners, a minimum performance requirement is in place to qualify for recurring commission past the initial 12-month period:

• Qualification Requirement: An affiliate must refer and successfully sign up a minimum of four (4) new clients per calendar year (January 1st to December 31st) to continue collecting recurring revenue commissions from *all* previously referred active clients past their 12-month initial payout period.
• Failure to Qualify (Sunset Clause): If an affiliate refers fewer than four (4) new clients in a given calendar year, their recurring revenue commissions on *all* existing clients will sunset effective January 1st of the following calendar year. This decision is final.
• New Clients (Grace Period): All affiliates will still receive the full 12 months of recurring revenue and the initial setup fee commission for any new clients they successfully refer, regardless of their annual qualification status.

4. Mandatory Eligibility, Lead Tracking, and Payout Terms

All payments are strictly contingent upon the affiliate's adherence to the following administrative and tracking requirements:

4.1. Compliance Requirements

• The affiliate must agree to and comply with The Knowledge Gap Co LLC DBA Velocity 360's Terms of Use.
• The affiliate must fully complete and submit the official **Affiliate Application Form** and execute the mandatory Non-Disclosure Agreement (NDA).

4.2. Approved Lead Submission Methods

Payouts are only applicable for leads submitted via the approved and trackable methods below. This is the only way a lead will be recognized for commission purposes:

• Submitting the lead directly via the official **Referral Form** provided by Velocity 360.
• The client utilizing the affiliate's Velocity 360 provided booking link to self-book an appointment or purchase a product.

Ineligible Leads: Leads not delivered in writing through the approved Referral Form or that were already present in The Company's client or prospect database prior to the affiliate's referral will not count towards any payouts.

4.3. Payout Schedule and Methods

• Schedule: Commissions earned in a given calendar month will be paid out during the month immediately following the earning month. This is for cash flow management purposes.
• Payout Date: All qualified commissions will be paid out on the last day of each calendar month.
• Grace Period: The Company provides a grace period of five (5) business days following the last day of the month for processing and funds transfer.
• Payment Method: Payments will be processed exclusively via PayPal or Direct Deposit (ACH). Affiliates must provide accurate and up-to-date payment information.

5. Intellectual Property Rights and Confidentiality

By participating in the Affiliate Program, the Affiliate acknowledges and agrees to the following terms, which are further detailed in the mandatory Affiliate Agreement and Non-Disclosure Agreement (NDA).

Ownership and Trade Secrets

• Company Ownership of IP: The Affiliate acknowledges that The Knowledge Gap Co LLC DBA Velocity 360 exclusively owns all right, title, and interest in and to its products, services, branding, websites, software, methodologies, and all related intellectual property (IP).
• Marketing Materials Ownership: The Company retains exclusive ownership of all marketing materials and content provided to or created for The Company. The Affiliate is granted only a limited, revocable license to use these materials.
• Confidential Information: The mandatory NDA strictly prohibits the unauthorized sharing or use of The Company’s Confidential Information, including, but not limited to, proprietary technical information such as API connections or keys, custom JavaScript code, custom CSS styling, and internal operational documents.
• Breach: Any unauthorized disclosure of Confidential Information will result in immediate termination, forfeiture of commissions, and potential legal action.

6. Governing Law

This Policy and all terms and conditions set forth herein shall be governed by and construed in accordance with the laws of the State of Tennessee, and the exclusive venue for any dispute arising out of or relating to this Policy shall be in the courts located in Knoxville, Tennessee.
